Terms of Service
Please read these terms carefully before using Africaction.
1. Acceptance of Terms
By accessing or using Africaction (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of the terms, then you may not access the Service.
2. Description of Service
Africaction provides a platform for members of the African diaspora to connect, share information, collaborate on projects, and discover opportunities. Features include user profiles, news feeds, business directories, internal messaging, learning modules, and mentorship programs.
3. User Accounts
When you create an account with us, you must provide information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account on our Service.
You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password, whether your password is with our Service or a third-party service.
4. Account Security
You are responsible for maintaining the security of your account, including the use of strong passwords and enabling Two-Factor Authentication (2FA) if available. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account. Africaction is not liable for any loss or damage arising from your failure to comply with these security obligations.
5. User Conduct
You agree not to use the Service:
- In any way that violates any applicable national or international law or regulation.
- For the purpose of exploiting, harming, or attempting to exploit or harm minors in any way by exposing them to inappropriate content or otherwise.
- To transmit, or procure the sending of, any advertising or promotional material, including any "junk mail," "chain letter," "spam," or any other similar solicitation.
- To impersonate or attempt to impersonate Africaction, an Africaction employee, another user, or any other person or entity.
- To engage in any activity that is fraudulent, abusive, or harmful to the Service or its users.
6. Content
Our Service allows you to post, link, store, share and otherwise make available certain information, text, graphics, videos, or other material ("Content"). You are responsible for the Content that you post on or through the Service, including its legality, reliability, and appropriateness. By posting Content, you grant Africaction a non-exclusive, worldwide, royalty-free license to use, reproduce, adapt, publish, translate and distribute it in any and all media.
7. Intellectual Property
The Service and its original content (excluding Content provided by users), features and functionality are and will remain the exclusive property of Africaction and its licensors. The Service is protected by copyright, trademark, and other laws of both foreign countries and the United States.
8. Mentorship Program Terms
Africaction facilitates a mentorship program connecting mentors and mentees. The following terms apply specifically to participants in the mentorship program:
- Eligibility: Mentors and mentees must meet eligibility criteria as defined by Africaction, which may include verification processes.
- Role of Africaction: Africaction provides the platform for connection but is not responsible for the specific advice, guidance, or outcomes of any mentorship relationship. We do not guarantee the quality, suitability, or effectiveness of any mentor or mentorship.
- Mentor Conduct: Mentors agree to act professionally, ethically, and in the best interest of their mentees. They shall not misrepresent their expertise or qualifications. Mentors must maintain confidentiality regarding mentee information.
- Mentee Conduct: Mentees agree to be respectful, prepared for sessions, and proactive in their learning. They must also maintain confidentiality regarding mentor information shared in private.
- No Guarantees: Participation in the mentorship program does not guarantee any specific career advancement, business success, or other outcomes.
- Communication: All initial communication and scheduling should ideally occur through the Africaction platform. Any off-platform communication is at the users' own risk.
- Feedback: Users may be asked to provide feedback on their mentorship experience. This feedback may be used to improve the program and may be visible to other users (e.g., mentor ratings).
- Dispute Resolution: Africaction may, at its discretion, offer mediation for disputes between mentors and mentees but is not obligated to do so.
- Termination of Mentorship: Either party may terminate a mentorship relationship by providing notice through the platform. Africaction reserves the right to remove users from the program for violations of these terms or community guidelines.
- Fees: Some mentorship offers may be paid. All payment transactions for such offers must be handled in accordance with Africaction's payment policies (to be defined). Africaction is not responsible for private financial arrangements made outside the platform.
9. Data Sovereignty and Hosting
Africaction is committed to data protection and aims to provide options for data hosting that align with user preferences and regulatory requirements. While currently utilizing standard cloud infrastructure, we are exploring future options for sovereign cloud hosting or self-hosted solutions for specific communities or enterprise clients. Users will be informed of any significant changes to our data hosting policies. Our current hosting providers are selected based on their security and reliability standards.
10. Data Encryption
We implement industry-standard encryption protocols to protect your data in transit (e.g., using HTTPS) and at rest. Sensitive personal information, such as passwords, are stored using strong hashing algorithms. While we strive to protect your personal information, no method of transmission over the Internet or method of electronic storage is 100% secure.
11. Termination
We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.
12. Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
13. Disclaimer of Warranties; Limitation of Liability
The Service is provided on an "AS IS" and "AS AVAILABLE" basis. Africaction makes no warranties, expressed or implied, and hereby disclaims and negates all other warranties including, without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property or other violation of rights.
In no event shall Africaction or its suppliers be liable for any damages (including, without limitation, damages for loss of data or profit, or due to business interruption) arising out of the use or inability to use the materials on Africaction's website, even if Africaction or an Africaction authorized representative has been notified orally or in writing of the possibility of such damage.
